1. About ZY IMMO Capital

ZY IMMO Capital Ltd (“we”, “us”, “our”) operates a curated investment and referral platform, connecting verified investors with licensed partners — developers, legal advisors, and real-estate professionals — across Cyprus & Europe. We act as a marketing and introductions platform, not a licensed real-estate agency or financial adviser, unless explicitly stated under a separate agreement.

2. Scope of These Terms

These Terms govern your use of our websites, Telegram bot(s), digital forms, and related services (the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy (GDPR).

3. Eligibility & Verified Access

Access is limited to verified professional or self-certified sophisticated investors and licensed partners/corporates.
Investors must complete KYC/AML verification and activate membership before receiving full project or deal details. Unverified or non-paying users have no access rights.

4. No Advice / No Offer

All content provided through our Services is for informational purposes only and does not constitute investment, legal, tax, or financial advice. It does not represent an offer or solicitation to buy or sell any asset. You are solely responsible for your investment decisions and due diligence.

5. Membership & Fees

Investors. Verified Investor Membership: €2,500 per year. Payment via JCC. Non-refundable once activated. Optional promotion: complimentary for early verified members joining in 2025.

Partners. Verified Partner €150 / Institutional Partner €300 for onboarding & document review. Commissions and introductions are governed by separate DocuSign Referral/Collaboration Agreements.

6. KYC / AML Verification

We are required under EU and Cyprus law to collect identity and funds-verification documents. You agree to provide accurate information and consent to the processing of this data in accordance with our Privacy Policy. Refusal to provide KYC/AML information may result in denial of service.

7. Intellectual Property & Confidentiality

All teasers, templates, texts, workflows, visuals, and data within the Services are the intellectual property of ZY IMMO Capital or its partners. You may not copy, redistribute, or use them for any commercial or competitive purpose. All project and partner data is confidential and protected under NDA. Circumventing ZY IMMO Capital in any transaction is strictly prohibited.

8. Prohibited Activities

Misrepresentation of identity or authorization;
Bypassing or directly contacting parties introduced by ZY IMMO Capital;
Scraping, reselling, or redistributing confidential materials;
Using the platform for unlawful, fraudulent, or misleading activity.

9. Third-Party Services

We use trusted processors, including Cloudinary (file storage & watermarking), DocuSign (digital signatures), Pipedrive (CRM), Brevo/Sendinblue (email), and JCC (payments). Their individual terms and privacy policies apply in addition to ours.

10. Liability & Disclaimers

The Services are provided “as is”. We make no warranties as to the availability, accuracy, or completeness of any project or deal. To the maximum extent permitted by law, we exclude liability for indirect, incidental, or consequential losses. Nothing in these Terms limits liability that cannot be excluded under Cyprus law.

11. Indemnity

You agree to indemnify and hold ZY IMMO Capital harmless from any claim, loss, or expense arising from your breach of these Terms or unauthorized use of the Services.

12. Termination

We may suspend or terminate access to the Services without notice in the event of breach, failed verification, non-payment, or misuse of the platform.

13. Data Protection

All personal data is processed in accordance with our Privacy Policy (GDPR). By using the Services, you consent to the lawful processing of your information within the scope defined therein.

14. Modifications

We may update these Terms from time to time. The latest version will be published on our website with the corresponding effective date. Continued use of the Services constitutes acceptance of any modifications.

15. Cancellation & Refund Policy

Membership Fees. All membership fees (including Verified Investor Membership and Partner Onboarding Fees) are non-refundable once payment has been successfully processed and access to the Services has been granted. This applies even if the user later decides not to proceed with introductions or opportunities provided through the platform.

Right of Withdrawal. As the Services include immediate access to digital content, introductions, and legally protected information (subject to confidentiality and NDA obligations), users expressly waive their right of withdrawal under EU consumer protection laws (Directive 2011/83/EU, Article 16(m)).

Cancellations Before Activation. If a payment is made but access has not yet been activated, the user may contact legal@zyimmo.de within 24 hours to request review. Refunds may be granted only if processing has not begun and no confidential material was disclosed.

Technical Errors. In case of double charges or verified payment errors, refunds will be processed upon written proof of transaction and confirmation from the JCC payment provider.

By completing a payment, the user acknowledges and agrees that the fee is non-refundable except as described above.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. Any dispute arising under or in connection with these Terms shall fall under the exclusive jurisdiction of the courts of Nicosia, Cyprus.
